Any access from such individuals is prohibited and may result in immediate termination. These Terms shall be governed exclusively by the laws of the British Virgin Islands.

1. Acceptance of Terms

Your access to or use of the Website constitutes your full agreement to these Terms, including any modifications posted on the Website. If you access the Website on behalf of an entity, you represent that you have authority to bind that entity. Continued use after changes constitutes acceptance. If you do not agree, cease use immediately.

2. Services Offered

The Website offers advisory referrals for residency applications and asset protection planning through third-party providers, based on your described needs and prior legal consultations. Oz Capital acts exclusively as a consolidator and integrator of vetted third-party providers in relevant jurisdictions, facilitating connections for such planning, but does not directly provide, execute, or guarantee any services, approvals, or outcomes. All service delivery is subject to separate agreements between you and the specific third-party provider, over which Oz Capital has no control or responsibility.

3. User Obligations

You agree to provide accurate information, comply with all applicable laws, and use the Website only for lawful purposes. You acknowledge that Oz Capital's recommendations are based solely on information you provide and prior general legal consultations, and you bear full responsibility to independently seek qualified legal opinions in your jurisdiction of citizenship or residence regarding the suitability, compliance, and implications of any recommended structure or residency option under your local tax authorities and immigration policies. Oz Capital provides no guarantees, warranties, or assurances of success, approval, tax benefits, or liability protection, and you assume all risks and liabilities associated therewith. You indemnify Oz Capital against all claims, losses, or liabilities from your use, including third-party interactions or regulatory issues. This indemnity survives termination.

4. Fees and Payments

Services are quoted on a case-by-case basis per request, represented as prepaid service credits, and all payments are non-refundable but may be applied to other eligible advisory referrals at Oz Capital's discretion. Oz Capital supports various payment methods for convenience, including Oz tokens (TOTOz) as a form of prepaid service credits, subject to verification and conversion at the fixed equivalent provided at the time of issuance, which shall not be lower than the actual United States Dollars (USD) received for the prepaid services. The TOTOz token is solely a payment mechanism for prepaid advisory services and is not subject to market risk for redemption purposes; any trading of TOTOz by Users in open markets occurs entirely at the User's sole discretion and risk, and Oz Capital has no involvement, endorsement, facilitation, or liability whatsoever for such activities, including market fluctuations or trading outcomes. Oz Capital functions exclusively as a service provider in facilitating these prepayments and referrals, with no involvement in token trading, valuation, or market activities. All payments are processed securely in accordance with the Privacy Policy, and you agree to pay all applicable taxes, fees, or charges associated with your use of the Website.

5. Intellectual Property

All Website content, trademarks, and materials are Oz Capital's property, protected under British Virgin Islands law. You receive a limited license to access for personal use, not to copy, distribute, or commercialize without written consent.

6. Limitation of Liability

Oz Capital is not liable for indirect, consequential, or punitive damages from Website use. Total liability is limited to fees paid in the prior twelve months. The Website is "as is," with no warranties.

7. Indemnification

You indemnify Oz Capital against claims from your use, including regulatory or third-party issues. This is absolute and survives termination.

8. Governing Law

These Terms are governed by British Virgin Islands law. Disputes are resolved by binding arbitration in the British Virgin Islands under its rules.

Any dispute is arbitrated in the British Virgin Islands before a single arbitrator, with final, binding award. You waive jury trials and class actions.

Oz Capital may amend these Terms by posting updates. Continued use accepts changes.

11. Termination

Oz Capital may terminate access for breaches, effective immediately, without liability. Your obligations survive.

13. Disclaimer of Warranties

14. Miscellaneous

Invalid provisions are reformed; the rest remain effective. Headings are for convenience. Electronic signatures bind.
